Cover can be provided for any Director of a Company, Member of a Closed Corporation or other Officer that has:
1. a fiduciary duty of trust in terms of common law,
2. statutory obligations in terms of Companies Act 1973,
3. other obligations in terms of the rules contained in the Memorandum and Articles of
Association of the Company
to act in the interests of their Company. Failure to carry out such duties and obligations and which result in a loss to Shareholders, Creditors or other parties may render Directors, Members or Officers liable in their personal capacities for such losses. The need for protection against such liabilities is increasing as a result of much publicised cases such as Parmalat (Italy) and Enron (USA). Cover is available to Directors’ & Officers’ of Companies in terms of the Directors & Officers Liability Insurance which can provide protection to both the Company and estates of the individual Directors, Members and Officers.
